Terms of Service

These Terms of Service govern your access to oceansideseafood.com and your purchases from Oceanside Seafood Inc.

Please read these Terms carefully. Section 18 contains a binding arbitration agreement and class-action waiver that affect your legal rights, including your right to have certain disputes decided in court by a judge or jury. You may opt out as explained in Section 18.

1. Agreement to These Terms

These Terms are an agreement between you and Oceanside Seafood Inc. (“Oceanside Seafood,” “we,” “us,” or “our”). By accessing our website, creating an account, or placing an order, you agree to these Terms and the policies incorporated into them, including our Privacy Policy, Shipping Policy, and Refund Policy.

If you do not agree, do not use the website or place an order. You must be legally capable of entering into a binding agreement. If you use the website on behalf of an organization, you represent that you are authorized to bind that organization.

2. Shopify and Third-Party Services

Our store is hosted by Shopify. Shopify processes information when you visit our store or make a purchase, including to provide services based on your interactions with our store, other Shopify merchants, and Shopify. Information may be shared with Shopify and other providers located in the United States or other countries to provide these services.

Your use of certain payment methods, applications, carrier services, or third-party links may also be subject to the applicable provider’s terms. Please review our Privacy Policy for more information.

3. Acceptable Use

You may not use our website or products:

  • For an unlawful, fraudulent, abusive, or unauthorized purpose.
  • To violate another person’s rights or any applicable law.
  • To introduce malware, scrape or harvest information unlawfully, interfere with security, or disrupt the website.
  • To impersonate another person, submit false information, or attempt an unauthorized transaction.

4. Products and Perishable Goods

Our seafood and related food products are perishable. By ordering, you acknowledge that:

  • Frozen products are generally packed with insulation and dry ice or other cold-chain materials.
  • Prompt retrieval and proper refrigeration or freezing after delivery are essential.
  • Natural variations in size, weight, shape, color, marbling, and texture may occur.
  • Product photographs are illustrative; the product received may not look identical.
  • References to weight or count may be approximate unless expressly stated otherwise.

Product availability, origin, cut, packaging, and specifications may change. We will not make a material substitution without your approval when approval is reasonably practicable.

5. Food Safety and Allergens

Seafood, shellfish, and other foods may contain allergens. Products may be processed, packaged, or stored in facilities that handle fish, crustacean shellfish, molluscan shellfish, wheat, soy, milk, eggs, sesame, tree nuts, peanuts, or other allergens. Review product labels and descriptions before consumption.

Raw or undercooked seafood can increase the risk of foodborne illness, particularly for pregnant people, young children, older adults, and people with weakened immune systems or certain medical conditions. Follow applicable food-safety guidance and consult a qualified professional if you have medical or allergy concerns.

Do not consume a product you reasonably believe is unsafe. Photograph the product and packaging, retain them as directed, and contact us promptly under our Refund Policy.

6. Orders and Acceptance

Your order is an offer to purchase. An order confirmation acknowledges receipt but does not necessarily constitute acceptance. We may refuse, limit, or cancel an order for legitimate reasons, including inventory shortages, geographic or fulfillment limitations, suspected fraud, payment problems, pricing or system errors, or violation of these Terms.

If we cancel an order after payment has been captured, we will refund the canceled amount to the original payment method. We may impose reasonable quantity limits, including limits per customer, household, account, payment method, or address.

7. Pricing, Payment, and Taxes

Prices are displayed in U.S. dollars unless stated otherwise. Applicable shipping charges, taxes, discounts, and fees are shown at checkout. You represent that you are authorized to use the payment method submitted.

We may change prices prospectively and correct typographical, pricing, or system errors. If a material pricing error affects an order already submitted, we may cancel the affected item or order and issue a refund rather than charge a corrected price without your authorization.

8. Order Cancellations

You may request cancellation for a full refund before an order ships. Once an order has shipped or has been transferred to the carrier, it cannot be canceled because the products are perishable. Contact cs@oceanside-email.com promptly and include your order number. Refund-posting times depend on your bank or payment provider.

9. Shipping and Delivery

We use third-party carriers and cold-chain packaging. Available methods, ship days, fees, address restrictions, and estimated transit times are described in our Shipping Policy.

Delivery and transit dates are estimates, not guarantees. Weather, holidays, carrier disruptions, mechanical problems, address issues, and other events may affect delivery. A carrier delay does not automatically establish that a product is unsafe or qualify an order for a refund, but we will evaluate timely, documented claims under our Refund Policy.

Unless otherwise required by applicable law, responsibility for the package transfers to you when the carrier confirms delivery to the address provided at checkout. You are responsible for providing an accurate deliverable address, monitoring tracking, promptly retrieving the package, and properly storing its contents. We are not responsible for theft, loss, or deterioration occurring after confirmed delivery because of delayed retrieval or improper handling.

10. Product Condition and Claims

Minor or partial thawing does not necessarily mean a product is unsafe. If a product arrives warm, damaged, leaking, compromised, or otherwise appears unsafe, do not consume it.

Claims must be submitted within 24 hours after confirmed delivery and should include:

  • Your order number and a description of the issue.
  • Clear photographs of the product, internal and external packaging, shipping label, and any damage.
  • Any other reasonably requested information needed to evaluate the claim.

Keep the product and all original packaging until we complete our review or instruct you otherwise. Resolutions are governed by our Refund Policy and applicable law.

11. Subscriptions and Recurring Charges

If you enroll in a subscription, the frequency, price, shipping terms, renewal schedule, and other material terms presented at enrollment are incorporated into these Terms. You authorize us and our payment provider to charge the payment method on file at each renewal until you cancel.

You may modify or cancel a subscription using the customer-account controls made available to you or by contacting us at cs@oceanside-email.com. Cancellation stops future renewals. It does not cancel or refund an order already processed or shipped unless our cancellation or refund policies permit it.

Submit changes before the next scheduled processing date shown in your account. We will provide any renewal notices required by applicable law. We may change future subscription pricing or terms after providing any notice required by law; you may cancel before the change takes effect.

12. Promotions, Discounts, and Gift Cards

Promotions are subject to their stated terms, availability, expiration dates, and exclusions. Unless expressly allowed, offers cannot be combined, applied retroactively, redeemed for cash, transferred, or used fraudulently. Gift cards and store credits are subject to applicable law and any terms presented when issued.

13. Accounts and Communications

You are responsible for keeping your account information accurate and safeguarding your login credentials. Notify us promptly if you suspect unauthorized account activity.

You agree that we may send electronic transactional communications concerning your orders, account, security, or these Terms. Promotional email and SMS communications are governed by your consent and opt-out choices described in our Privacy Policy.

14. Chargebacks and Fraud Prevention

If you believe a charge is incorrect or have a problem with an order, please contact us first so we can investigate and attempt to resolve the matter. Nothing in these Terms eliminates any lawful right to dispute a charge with your card issuer or payment provider.

We may provide relevant records—such as order details, tracking, delivery confirmation, policy acceptance, and communications—to payment processors or financial institutions when responding to a dispute. We may restrict accounts associated with fraud, repeated unauthorized transactions, or abusive conduct.

15. Intellectual Property

The website and its text, photographs, graphics, logos, design, product descriptions, and other content are owned by Oceanside Seafood or used with permission and are protected by applicable intellectual-property laws. We grant you a limited, revocable, nonexclusive right to use the website for personal, noncommercial shopping purposes. You may not copy, reproduce, distribute, modify, sell, or exploit website content without prior written permission.

16. Disclaimers and Limitation of Liability

Except for express commitments stated in these Terms or our written policies, and to the fullest extent permitted by law, the website and services are provided “as is” and “as available.” We do not guarantee uninterrupted or error-free website operation.

To the fullest extent permitted by law, Oceanside Seafood and its owners, employees, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for losses caused by improper storage or handling after delivery, even if advised that such damages were possible.

To the fullest extent permitted by law, our aggregate liability arising from an order will not exceed the amount you paid for the product or order giving rise to the claim.

These limitations do not apply to liability that cannot lawfully be excluded or limited, including liability arising from fraud, willful misconduct, or personal injury to the extent exclusion is prohibited by law. Nothing in these Terms limits nonwaivable consumer rights.

17. Events Beyond Our Control

We are not responsible for a failure or delay caused by events beyond our reasonable control, including severe weather, natural disasters, government actions, carrier or transportation disruptions, labor disputes, supply-chain interruptions, utility or internet outages, public-health emergencies, or similar events. This section does not excuse obligations that applicable law does not permit us to avoid.

18. Dispute Resolution, Arbitration, and Class-Action Waiver

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before filing arbitration, either party must send the other a written notice describing the dispute, the supporting facts, and the requested relief. Send notices to Oceanside Seafood Inc., 3617 E. Grand River Ave., Howell, MI 48843, with a copy to cs@oceanside-email.com. We will attempt in good faith to resolve the dispute for at least 30 days after receipt.

Binding individual arbitration. If the dispute is not resolved, and except for matters eligible for small-claims court or requests for temporary or preliminary injunctive relief concerning intellectual-property misuse or unauthorized access, either party may require the dispute to be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this arbitration agreement.

Arbitration may be conducted by telephone, videoconference, written submissions, or in person as permitted by the applicable rules. Any in-person hearing will take place in Livingston County, Michigan, unless the consumer rules or applicable law require another location. Fees will be allocated under the applicable AAA rules, but we will not seek attorneys’ fees from you unless the arbitrator determines that your claim was frivolous or brought for an improper purpose.

No class or representative proceedings. To the fullest extent permitted by law, disputes must proceed only on an individual basis. Neither party may bring or participate in a class, collective, coordinated, consolidated, mass, or representative action or arbitration. The arbitrator may award relief only to the individual party seeking relief and only as necessary to resolve that party’s individual claim.

Small-claims option. Either party may bring an eligible individual claim in small-claims court instead of arbitration, provided the claim remains in that court and proceeds only on an individual basis.

30-day right to opt out. You may opt out of this arbitration agreement by mailing a signed written notice to Oceanside Seafood Inc., 3617 E. Grand River Ave., Howell, MI 48843, or emailing cs@oceanside-email.com within 30 days after first accepting these Terms. Include your full name, mailing address, email address used for the order, and a clear statement that you opt out of arbitration. Opting out will not affect your purchase or account.

If a court determines that a restriction in this section cannot be enforced for a particular claim or request for relief, that claim or request will be decided by a court after all arbitrable matters are completed. If the class-action waiver is determined unenforceable as to a proposed class or representative proceeding, the arbitration agreement will not apply to that proceeding.

19. Governing Law

Except to the extent federal law governs or applicable consumer law requires otherwise, these Terms are governed by Michigan law without regard to conflict-of-law rules. Any court proceeding permitted under these Terms will be brought in a court of competent jurisdiction in Livingston County, Michigan, unless applicable law requires another location.

20. Changes to These Terms

We may update these Terms from time to time. The revised Terms become effective when posted, unless a later date is stated. Changes apply prospectively and will not retroactively alter a dispute that arose before the change. Where required, we will provide additional notice. Your continued use after the effective date constitutes acceptance of the revised Terms.

21. General Provisions

If any provision is held unenforceable, it will be modified only to the minimum extent necessary and the remaining provisions will continue in effect, subject to the specific severability language in Section 18. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a merger, reorganization, financing, sale, or transfer of our business. These Terms and the incorporated policies constitute the entire agreement concerning the website and purchases, except for additional terms expressly presented for a particular product, promotion, or subscription.
